There is no secondary market. You should assume you cannot sell or exit at short notice, at a price of your choosing, or possibly at all within your intended horizon. Property on Roatán can take a long time to sell and the buyer pool is small and seasonal. Plan on holding for the full term and longer.
Projects presented before completion carry risks a finished building does not: construction delay from weather, permitting, shipping or labour; cost overrun that can reduce or eliminate the projected return; contractor insolvency or poor workmanship; failure to obtain or retain permits; and the possibility that a project is not completed at all. Materials for island construction are largely imported, so cost and schedule are exposed to shipping and import duties.
Honduras is an emerging market. Investments are exposed to political change, changes in law and taxation including rules on foreign ownership, currency and capital-transfer controls, enforcement and judicial-system risk, and general economic instability. Recovering an investment through the Honduran courts may be slower, costlier and less certain than in your home jurisdiction. Where a project relies on a special economic zone regime, that regime may itself be subject to legal or political change.
Property title on Roatán and in the Bay Islands warrants particular care. Risks include defects and gaps in the chain of title, competing or overlapping claims, boundary and survey disputes, and restrictions on foreign ownership of coastal and island land and on the corporate structures used to hold it. Obtain independent Honduran legal counsel and an independent title search for any specific property. Do not rely on this platform, on Roatan Investors S.A., or on any partner for title verification.
Roatán lies in the Atlantic hurricane belt and in a seismically active region. Investments are exposed to hurricane, storm surge, flood, earthquake, coastal erosion and sea-level rise. Insurance may be limited in scope, expensive, subject to high deductibles, or unavailable for some perils, and reinstatement after a major event can take a long time and cost more than the insured sum.
Figures are presented in US dollars. Costs, taxes and some revenues may be incurred in Honduran lempira. Exchange-rate movement, and any restriction on converting or transferring funds, can reduce your return in your own currency.
Where a project is presented as producing residual or rental income, that income depends on occupancy, seasonality, tourism demand, competition, management performance and maintenance cost. Rental income is not contractually guaranteed unless a signed agreement says so explicitly, and rental projections carry every caveat set out above.
An investment in a single development, on a single island, in a single country, in a single asset class is concentrated and carries risks a diversified portfolio does not. You will also depend on Roatan Investors S.A. and its contractors and managers for construction, letting, maintenance and administration, generally with no day-to-day control, so your outcome depends materially on their performance and solvency.
